Co-op Financing: What Changes When You Buy Shares
A cooperative purchase is not a real estate purchase in the legal sense, and the loan reflects that. Here is what to expect.

Cooperatives are uncommon in the Pacific Northwest, which means most local lenders have never done one. Buyers discover this after their offer is accepted, which is the worst possible time.
What you are buying
Shares in a corporation, and a proprietary lease giving you the right to occupy a specific unit. There is no deed and no individual mortgage on the unit. The building itself may carry an underlying mortgage that all shareholders support through maintenance charges.
How the loan is secured
The lender takes a security interest in your shares and the lease. That requires a recognition agreement signed by the co-op board, spelling out the lender's rights if you default. Boards vary enormously in how quickly they will execute one, so request it the week you go under contract.
The corporation gets underwritten
Expect the lender to review the co-op's budget, reserves, underlying debt, maintenance delinquency rate, sublet policy, and owner-occupancy percentage. A building with thin reserves or a large balloon coming due on its underlying mortgage can cause a decline even when your own file is excellent.
Practical guidance
Budget extra time for board approval, which is separate from and often slower than loan approval. Confirm your lender has actually closed co-op share loans before, ask the managing agent for the corporation's financials early, and understand the flip tax or transfer fee, since it affects your cash to close.
